The Florida LLC is unique in terms of management choices. You can elect to have the member manage the entity like with a general partnership or have managers, who may or may not be members, manage the LLC. The manager-managed option is similar to what is found with a S-Corp or C-Corp. The big difference is that with a corporation the shareholders elect the directors, and the directors control the officers. With a LLC the member elect and control the managers so the members have direct control over the officers or day-to-day managers of the company.

Members make the decisions in a member-managed LLC and Managers make the decisions in a manager-managed LLC.

Its important to remember that a Manager does not have to be a shareholder or person. The manager can be another entity.
